The agreement between you and the okay company

Last updated October 21, 2026 · The Okay Company LLC

1. The agreement

These Terms of Service (“Terms”) are a contract between you and The Okay Company LLC (“the okay company”, “we”, “us” or “our”), a Nevada limited-liability company. They cover:

  • okaycompany.com, the company site;
  • okay engineering (okayengineering.com), its devices and its Mac apps such as OkayCopy;
  • the okay designer (okaydesigner.com), in the browser and on the Mac;
  • OkayLogin (okaylogin.com), the account used across Okay products;
  • OkayPanda, OkayPortal, the okay model and okaybravo, as and when they are offered;
  • and any other website, app, device or service of ours that links to these terms.

We call all of these the “Services”. By using the Services you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. Some Services have extra terms shown where you sign up or buy (for example a plan's description or an order page); those extra terms are part of this agreement and win if they conflict with these Terms. If you don't agree, please don't use the Services.

If you use the Services for an organization, you confirm you may bind it, and “you” includes that organization.

2. Who can use the Services

You must be at least 13 years old, and old enough to agree to a contract where you live (or have a parent or guardian agree for you). You must be 18 or older to buy anything. You can't use the Services if the law, including U.S. sanctions and export law, forbids it.

3. Your account

Most Okay products use an OkayLogin account. Give us accurate details, keep your passkeys, devices and email secure, and tell us at okay@okaycompany.com (subject “Security”) if you think someone else has got into your account. You are responsible for what happens under your account, unless it happened because of our own failure. One person per account; don't share or sell accounts.

4. Your content

“Your Content” is what you put into the Services (designs, files, prompts, messages, settings and the like) and what the Services make for you from it, such as models, drawings, code and text. You keep all your rights in Your Content. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Your Content only as needed to run, secure and support the Services for you, and to follow the law. This license ends when Your Content is deleted from the Services, apart from backups that expire on their normal schedule.

We do not use Your Content to train AI models, and we don't sell it. You confirm you have the rights to Your Content and that using it with the Services doesn't break the law or anyone else's rights.

5. AI features and outputs

Some Services use artificial intelligence to suggest or produce designs, engineering calculations, parts lists, costs, code, text and other output. AI can be wrong, incomplete or not unique to you. Please treat output as a starting point that you review:

  • Check before you build. Designs, simulations, battery-life figures, tolerances, part choices and costs are estimates. Verify them, and have a qualified professional check anything that matters, before you manufacture, sell or rely on it.
  • Not professional advice. The Services do not give engineering, electrical, safety, legal, medical or financial advice, and do not certify that anything meets a code, standard or regulation.
  • No safety-critical use. Don't use the Services or their output to design or run anything where a failure could cause death, injury or serious damage (for example medical devices, vehicles, aircraft, weapons, or life-support or critical infrastructure) unless it is independently designed, tested and certified by qualified people.
  • Similar requests can produce similar output for other people; we don't promise that output is exclusive to you.

6. Other people's services and your own keys

Some Services let you connect services we don't run, such as an AI provider (Anthropic, OpenAI, Google, OpenRouter, Groq, xAI and others) using your own API key, a parts supplier, or a payment provider. Your use of those services is under their terms and privacy policies, and you pay them directly. Where you use your own key, requests go from your device to that provider; we don't see or store the key on our servers unless a product clearly says it does. We aren't responsible for third-party services.

7. Paid plans and purchases

Some Services are paid. Prices, what's included, and billing periods are shown before you pay. Payments are processed by Stripe; we never see or store your full card number.

  • Subscriptions renew automatically at the end of each period at the then-current price until you cancel. You can cancel at any time in the product's billing settings or by emailing us; cancellation takes effect at the end of the period you've paid for.
  • Price changes to an existing subscription are announced at least 30 days in advance and apply from your next renewal. You can cancel before then.
  • Taxes such as sales tax or VAT are added where the law requires.
  • Refunds, shipping, returns and warranty are covered by our Sales & Refund Policy.
  • If a payment fails we may pause paid features until it is sorted out.

8. Software, apps and devices

When the Services include software you download (such as a Mac app) we give you a personal, non-exclusive, non-transferable, revocable license to install and use it for its intended purpose while you follow these Terms. Apps may update themselves automatically to fix bugs and security issues; you can usually turn this off, but older versions may stop working with the Services. Devices you buy are yours; the software inside them is licensed on these same terms. Open-source parts are under their own licenses, which win for those parts.

9. Our rights

The Services, including their software, designs, figures, text and the Okay names and marks (the okay company, okay engineering, the okay designer, OkayLogin, OkayPanda, OkayPortal, OkayCopy and the ring-and-check mark), belong to us or our licensors. Apart from the rights these Terms give you, we keep all rights. Don't copy, sell, reverse-engineer or build a competing product from the Services, except where the law allows despite this clause. If you send us feedback or ideas, we may use them freely without owing you anything.

10. Acceptable use

You agree to follow our Acceptable Use Policy. It explains what isn't allowed, such as breaking the law, attacking the Services, or using them to harm others.

11. Early and free features

Features marked early access, beta, preview, “in the lab” or free may change, have limits, or stop at any time, and are provided as they are.

12. Changes to the Services

We improve the Services all the time and may add, change or remove features. If we stop offering a paid Service you've paid for in advance, we'll refund the unused part. We'll give you reasonable notice and a way to export Your Content before we shut a Service down, unless we have to act faster for legal or security reasons.

13. Ending the agreement

You can stop using the Services and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if we must for legal reasons, or to protect the Services or other people. Where it's reasonable we'll tell you first and give you a chance to fix things and to export Your Content. Sections that by their nature should last (such as 4 to 6, 9 and 14 to 18) survive the end of the agreement.

14. Disclaimers

We work hard to make the Services dependable, but to the fullest extent the law allows, the Services and all output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Services will be uninterrupted, error-free or secure. Physical products carry only the warranty in our Sales & Refund Policy. Some places don't allow these exclusions, so some may not apply to you.

15. Limit of liability

To the fullest extent the law allows, neither we nor our members, managers, employees, suppliers or licensors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or related to the Services or these Terms, even if we were told they were possible. Our total liability for all claims about the Services or these Terms is limited to the greater of (a) what you paid us for the Service the claim is about in the 12 months before the event that caused it, or (b) US $100.

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, or your rights as a consumer that cannot be waived.

16. Indemnity

If you use the Services for business, you will defend and indemnify us against third-party claims, and the resulting losses and reasonable legal costs, that arise from Your Content, your use of output, or your breach of these Terms or the law.

17. Disputes

Talk to us first. Most problems can be solved quickly. Before starting any legal claim, email okay@okaycompany.com (subject “Dispute”) with a description of the problem and what you'd like, and give us 30 days to try to resolve it.

Law and courts. These Terms are governed by the laws of the State of Nevada and applicable U.S. federal law, without regard to conflict-of-laws rules. Any claim that isn't resolved informally will be heard only in the state or federal courts located in Clark County, Nevada, and you and we agree to their jurisdiction. Either of us may instead bring an individual claim in small-claims court where it qualifies. If you are a consumer living outside the United States, you also keep the protection of the mandatory laws of your country and may bring a claim in your local courts.

Claims must be brought within one year after they arise, where the law allows that limit.

18. General

  • Changes to these Terms. We may update these Terms. For material changes we'll give at least 30 days' notice by email or in the Services before they apply. Continuing to use the Services after a change takes effect means you accept it; if you don't, stop using the Services and cancel.
  • Whole agreement. These Terms and the documents they mention are the whole agreement between us about the Services.
  • Severability and waiver. If a part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
  • Assignment. You can't transfer these Terms without our written permission. We may transfer them as part of a merger, acquisition or sale of assets, or to an affiliate.
  • Events beyond control. Neither of us is responsible for delays caused by events beyond reasonable control.
  • Notices. We send notices to the email on your account. You can send notices to okay@okaycompany.com, and formal legal notices to The Okay Company LLC, c/o Northwest Registered Agent LLC, 732 S 6th St, Ste N, Las Vegas, NV 89101, USA.
  • U.S. government users. The Services are “commercial items” and are provided with only the rights given to everyone else in these Terms.
